A conversation with restaurant consultant Rick Nicholson was sparked this week when he was helping a client deal with out-of-control food costs relating to a supplier advance.

Many people get into trouble with money when they lack the tools to properly understand and make good business decisions.

Is there Goodwill in a Business that sells by Contract? How To Buy a Business


Goodwill is the value which ends up being paid for a business that has built up a regular clientele.  

It’s the difference between the value of the business’ cash flow and the value of it’s tangible assets.

But what if the goodwill is literally in the head of the owner of a business?  What if the profits are attributed to this person’s cunning as a shrewd manager or salesperson?

How does the buyer pay for goodwill if the loss of the owner may mean the loss of business?

This is particularly true of businesses that live or die by their ability to win contracts for trade work.

We’ve all seen multi-location businesses in most cities and towns.  What happens if you want to buy just one location but the owner is all mixed up with record keeping?

It actually happens all the time for different reasons.

You would think that the owner would want to know how each location is performing with respect to the rest.  Well they do, but that is because they have a perspective you do not.
