Valuation sits in the middle of difficult conversations
Lenders, accountants, lawyers, financial planners, economic development officers and business brokers regularly encounter owners who ask what a company is worth. The answer affects financing, succession, tax planning, shareholder disputes, insurance, acquisitions and retirement expectations. Yet these professionals may use the word value to mean different things.
There is no single value in every circumstance
Fair market value, investment value, liquidation value and orderly liquidation value answer different questions. A lender reviewing collateral may care about realizable asset value under pressure. A buyer may care about future cash flow after replacing the owner. A seller may be influenced by years of sacrifice or by a retirement target.
Small private companies require judgment
Small firms often have concentrated customers, owner-specific relationships, incomplete systems and financial statements shaped by tax choices. The analyst may need to reconstruct normalized earnings, separate operating assets from surplus assets and consider the cost of replacing owner labour. Multiples are not magic facts; they are shorthand for risk, growth, transferability and expected return.
Valuation helps lenders ask better questions
Is the borrower paying for earnings that depend on the seller? Is inventory slow-moving? Is equipment near the end of its useful life? Does the transaction leave enough working capital? Is a large portion of the price assigned to goodwill that disappears if customers leave?
The goal is not to turn everyone into an appraiser
A useful professional-development program teaches participants to recognize when a conclusion is reasonable, when more investigation is required and when a qualified valuation or equipment appraisal professional should be engaged.
